CHARLES SOMERS LOCATIONS LTD STANDARD TERMS OF ENGAGEMENT

These Standard Terms of Engagement (‘Terms’) apply in respect of all work carried out by us for you, except to the extent that we otherwise agree with you in writing.

1. Services

We agree to provide location consultancy and management services as in a timely and professional manner.

2. Fees:

  1. Unless otherwise agreed in writing, our fees will be charged on a daily rate basis as set out in Appendix 1 of the most recent APA recommended crew rates at the maximum basic daily rate (a copy of which will be made available on request) 

  2. Working hours and overtime is calculated as per APA recommended crew terms 1st July 2023, unless otherwise agreed in writing,

  3. Disbursements and expenses: In providing services we may incur disbursements or have to make payments to third parties on your behalf. These will be included in our invoice to you when the expense is incurred. We may require an advance payment for the disbursements or expenses which we will be incurring on your behalf.

  4. VAT is payable by you on our fees and charges.

  5. Our fees and expenses will be invoiced on completion of all work, unless otherwise agreed.  Invoices are payable within 14 days of the date of the invoice, unless alternative arrangements have been made with us. We may require interest to be paid on any amount which is overdue. Interest may be calculated at the rate 8% above Bank of England base rate percent per month from the date payment becomes due until the overdue amount is actually paid.  You agree to meet any collections costs in recovery of any overdue account.

  6. We may ask you to pre-pay amounts to us, or to provide security for our fees and expenses.

  7. Although you may expect to be reimbursed by a third party for our fees and expenses, nevertheless you will remain responsible for payment to us even if the third party fails to pay you.

  8. Any disputes regarding invoices must be notified to us within 7 days of receipt of invoice.

3. Confidentiality

a. We will hold in confidence all information concerning you or your affairs that we acquire during the course of acting for you. We will not disclose any of this information to any other person except:

i) to the extent necessary or desirable to enable us to carry out our services; or

ii) to the extent required by law 

b. Confidential information concerning you will as far as practicable be made available only to those within our company who are providing services for you.

4. Termination

a. You may terminate our services at any time but you agree to pay all our fees for any work undertaken by us up to that point.

4. General

 a) These Terms apply to any current engagement and also to any future engagement, whether or not we send you another copy of them.

b) We are entitled to change these Terms from time to time, in which case we will send you amended Terms.

c) This Agreement and all contractual and non-contractual disputes arising from or in connection with it shall be governed by and construed in accordance with the laws of England and Wales and the parties agree to submit to the exclusive jurisdiction of the English courts to settle any dispute or claim relating to this Agreement.
